Acquisition Creates Global Leader in Expanding Medical Education Market TORONTO, January 2, 2002 - The Thomson Corporation (TSE:TOC) today announced it has acquired Gardiner-Caldwell Communications Ltd., one of the world's largest independent medical education and communications companies. Financial terms of the agreement were not disclosed. Gardiner-Caldwell will significantly enhance the medical education franchise within Thomson by enabling the Corporation to provide educational programs for companies with important products requiring international coordination. The acquisition also strengthens the already strong U.S. market presence established by Thomson through Physicians World. Gardiner-Caldwell will become a part of the Scientific & Healthcare operating group within Thomson, and will continue to be run by its current business management group, headed by managing director, Steve Angrave. "The addition of Gardiner-Caldwell greatly enhances our ability to service the growing continuing medical education market, and the business is complementary to Physicians World in terms of geography, customer base and content model," said Mike Tansey, president and chief executive officer of Thomson Scientific & Healthcare. "With this acquisition, we are ideally positioned to create the leading global education resource capable of delivering multi-dimensional medical education services encompassing strategic communications, publication planning and e-healthcare initiatives in growth markets around the world." Founded in 1983, Gardiner-Caldwell has an established track record of developing and delivering tailored medical education programs to international medical communities. With a client base that includes a broad range of the world's largest pharmaceutical companies spanning many therapeutic categories, Gardiner-Caldwell utilizes an integrated product portfolio of marketing tools and education solutions - including traditional and online communication systems - to increase awareness of diseases and disorders, therapeutic advances and new drugs. "Joining The Thomson Corporation offers ideal synergies for our Group," said Mr. Angrave. "The link up with Thomson Scientific & Healthcare is particularly exciting as it ensures that we can provide market-leading services for our clients on a truly global basis and achieves our collective objective to become the premier provider in our field worldwide."
